The binding legal agreement between you and TPOV, LLC, doing business as POV Hub, governing your access to and use of the povhub.hair website and all associated services.

I Acceptance of Terms
These Terms of Service constitute a legally binding agreement between TPOV, LLC, a Utah limited liability company with its principal place of business at 619 N 330 W, Santaquin, Utah 84655-5099, doing business as POV Hub, and you, the individual or entity accessing or using the POV Hub website located at povhub.hair and any associated services, applications, APIs, tools, content, or features provided through the website, collectively referred to as the Platform.
By accessing, browsing, registering for, or otherwise using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and any additional guidelines, rules, or policies referenced herein or published on the Platform from time to time. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in such case the terms you and your shall refer to that entity.
If you do not agree to be bound by all of the terms and conditions set forth in this agreement, you must not access or use the Platform. Your continued use of the Platform following the posting of any changes to these Terms constitutes your acceptance of those changes. POV Hub reserves the right, at its sole discretion, to modify, amend, or replace these Terms at any time without prior notice to you, and it is your responsibility to review these Terms periodically for updates. The most current version of these Terms will always be available at povhub.hair/terms-of-service.
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion for any reason or no reason at all, including but not limited to violation of these Terms, conduct that we believe is harmful to our interests, other users, third parties, or the Platform, or for any other reason that we deem appropriate in our reasonable judgment.
II Description of Services
POV Hub provides computer systems design and related services including but not limited to infrastructure architecture consulting, systems integration, cybersecurity assessment and compliance readiness, DevOps and CI/CD pipeline engineering, observability and monitoring implementation, and custom software development. The specific scope, deliverables, timelines, and fees for any engagement shall be set forth in a separate written agreement, statement of work, or service order executed by both parties. These Terms govern your general use of the Platform, while individual service engagements are governed by their respective project agreements in conjunction with these Terms.
POV Hub continuously strives to improve and evolve the Platform. We reserve the right to modify, suspend, or discontinue any aspect or feature of the Platform at any time, temporarily or permanently, with or without notice to you. We may also impose limits on certain features, restrict access to parts of the Platform, or change eligibility criteria for using the Platform without prior notice or liability. You acknowledge and agree that POV Hub shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Platform or any part thereof.
Certain services offered through the Platform may be subject to additional terms and conditions, including but not limited to separate license agreements, data processing addenda, service-level agreements, or acceptable use policies. In the event of any conflict between these Terms and such additional terms, the additional terms shall govern with respect to the specific service to which they apply. POV Hub may also offer beta features, pilot programs, or early-access functionality that is provided as-is and without warranty of any kind.
POV Hub makes no representation that the Platform is appropriate or available for use in all locations. Those who access the Platform do so on their own initiative and are responsible for compliance with all applicable local laws, rules, and regulations. The services described on the Platform are not an offer to sell or a solicitation to buy in any jurisdiction where such offer or solicitation would be unlawful.
III Website Use
You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for your internal business purposes and in strict accordance with these Terms. This license does not include any right to resell or commercialize the Platform or its contents; to collect and use any product listings, descriptions, or pricing; to make any derivative use of the Platform or its contents; to download or copy account information for the benefit of another party; or to use any data mining, robots, or similar data gathering and extraction tools.
You agree that you will not use the Platform in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use and enjoyment of the Platform. You may not attempt to gain unauthorized access to any portion or feature of the Platform, any other systems or networks connected to the Platform or any POV Hub server, or any services offered on or through the Platform by hacking, password mining, or any other illegitimate means.
You may not use the Platform to transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature; to violate the security of any computer network, crack passwords, or security encryption codes; to engage in any activity that restricts or inhibits any other user from using or enjoying the Platform; or to harvest or otherwise collect information about others, including email addresses, without their express consent. You agree not to probe, scan, or test the vulnerability of the Platform or any network connected to the Platform, nor breach the security or authentication measures on the Platform.
The Platform may contain links to third-party websites or resources that are not owned or controlled by POV Hub. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that POV Hub shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites that you visit.
IV Intellectual Property Rights
All content, features, and functionality available on or through the Platform, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, code, scripts, designs, layouts, interfaces, the selection and arrangement thereof, and the overall look and feel of the Platform, are and shall remain the exclusive property of TPOV, LLC, its affiliates, or its content suppliers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
The trademarks, service marks, trade names, logos, domain names, and product names displayed on the Platform, including but not limited to the name POV Hub, the povhub.hair domain, and all related branding elements, are registered and unregistered trademarks of TPOV, LLC in the United States and other countries. Nothing in these Terms or on the Platform shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark displayed on the Platform without the prior written permission of TPOV, LLC or the respective trademark owner.
You retain ownership of any content, data, or materials that you submit, post, upload, or otherwise provide to POV Hub through the Platform. By submitting such content, you grant POV Hub a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content solely to the extent necessary to provide the services requested and to operate, improve, and maintain the Platform. You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to grant the foregoing license for any content you submit.
If you believe that any content on the Platform infringes your intellectual property rights, please contact us promptly at reach@povhub.hair with the subject line Intellectual Property Infringement Notice, providing a detailed description of the allegedly infringing material, its location on the Platform, your contact information, and a statement made under penalty of perjury that you are the intellectual property owner or authorized to act on the owner's behalf. We will investigate and respond to all properly submitted notices in accordance with applicable law.
V User Obligations
In connection with your use of the Platform, you agree to comply with all applicable federal, state, local, and international laws, statutes, ordinances, regulations, and codes. You are solely responsible for ensuring that your use of the Platform is in full compliance with any and all laws applicable to you, including but not limited to those governing data protection, privacy, export control, consumer protection, unfair competition, and anti-discrimination. Your failure to comply with any applicable law shall constitute a material breach of these Terms.
You agree to provide true, accurate, current, and complete information about yourself and your organization when prompted by the Platform's contact forms, registration processes, or other information requests, and to maintain and promptly update such information to keep it true, accurate, current, and complete. POV Hub reserves the right to suspend or terminate your access to the Platform and refuse any and all current or future use of the Platform if any information you provide is found to be untrue, inaccurate, not current, or incomplete.
You are responsible for maintaining the confidentiality of any account credentials, API keys, tokens, or other authentication mechanisms associated with your access to the Platform, and you are fully responsible for all activities that occur under your account or using your credentials. You agree to immediately notify POV Hub of any unauthorized use of your account or any other breach of security. POV Hub will not be liable for any loss or damage arising from your failure to comply with this security obligation.
You agree not to engage in any of the following prohibited activities: using the Platform for any unlawful purpose or to solicit others to perform or participate in any unlawful acts; violating any international, federal, provincial, or state regulations, rules, laws, or local ordinances; infringing upon or violating our intellectual property rights or the intellectual property rights of others; harassing, abusing, insulting, harming, defaming, slandering, disparaging, intimidating, or discriminating based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; submitting false or misleading information; uploading or transmitting viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Platform or any related services; collecting or tracking the personal information of others without their consent; or engaging in any activity that interferes with or circumvents the security features of the Platform.
VI Confidentiality
In the course of your engagement with POV Hub, you may receive or have access to information that is proprietary, confidential, or not generally known to the public. This may include but is not limited to business plans, technical specifications, client lists, pricing structures, trade secrets, methodologies, software code, architectural designs, security configurations, financial data, and strategic roadmaps. All such information, whether disclosed orally, in writing, or through electronic means, and whether or not explicitly marked as confidential, constitutes Confidential Information of POV Hub.
You agree to hold all Confidential Information in strict confidence and not to disclose, distribute, reproduce, summarize, or otherwise make available any Confidential Information to any third party without the prior written consent of TPOV, LLC. You agree to use Confidential Information solely for the purpose of evaluating or using POV Hub services as permitted under these Terms and not for any other purpose whatsoever. You shall exercise at least the same degree of care to protect Confidential Information as you use to protect your own confidential and proprietary information, but in no event less than a reasonable degree of care.
The obligations of confidentiality set forth in this section shall not apply to information that is or becomes publicly available through no fault of yours; was rightfully in your possession prior to disclosure by POV Hub without any obligation of confidentiality; is independently developed by you without reference to or reliance upon the Confidential Information; or is required to be disclosed by applicable law, regulation, or court order, provided that you give POV Hub prompt written notice of such requirement and reasonably cooperate with POV Hub's efforts to obtain a protective order or other appropriate remedy.
The duty of confidentiality under this section shall survive the termination or expiration of these Terms and shall continue for a period of three years from the date of disclosure of the relevant Confidential Information, or indefinitely with respect to any Confidential Information that constitutes a trade secret under applicable law. Upon termination of your relationship with POV Hub or upon POV Hub's request, you agree to promptly return or destroy all tangible materials embodying Confidential Information and to certify in writing that you have done so.
VII Disclaimer of Warranties
THE PLATFORM AND ALL SERVICES, CONTENT, MATERIALS, INFORMATION, AND FUNCTIONALITY AVAILABLE THROUGH OR IN CONNECTION WITH THE PLATFORM ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, POV HUB, TPOV LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITING THE FOREGOING, POV HUB DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE, COMPLETE, RELIABLE, OR CURRENT; THAT ANY DEFECTS OR ERRORS IN THE PLATFORM WILL BE CORRECTED; OR THAT THE PLATFORM OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. POV HUB MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE AVAILABILITY, RELIABILITY, OR PERFORMANCE OF THE PLATFORM OR ANY THIRD-PARTY SERVICES WITH WHICH THE PLATFORM MAY INTEGRATE.
YOU EXPRESSLY AGREE THAT YOUR USE OF THE PLATFORM AND YOUR RELIANCE UPON ANY INFORMATION, CONTENT, OR MATERIALS OBTAINED THROUGH THE PLATFORM IS SOLELY AT YOUR OWN RISK. NO ADVICE, INFORMATION, OR COMMUNICATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM POV HUB OR THROUGH THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
VIII Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TPOV, LLC, POV HUB, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES OF ANY KIND WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, PERSONAL INJURY, PROPERTY DAMAGE, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT POV HUB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF TPOV, LLC AND POV HUB, TOGETHER WITH ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM, EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS OR THE AMOUNT YOU HAVE PAID TO POV HUB IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE EXISTENCE OF MORE THAN ONE CLAIM SHALL NOT ENLARGE THIS LIMIT. YOU ACKNOWLEDGE AND AGREE THAT THIS LIMITATION OF LIABILITY REFLECTS A FAIR ALLOCATION OF RISK BETWEEN YOU AND POV HUB, AND THAT POV HUB WOULD NOT ENTER INTO THESE TERMS WITHOUT THESE LIMITATIONS ON ITS LIABILITY.
THE LIMITATIONS AND EXCLUSIONS SET FORTH IN THIS SECTION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, REGARDLESS OF THE FORM OF ACTION, AND SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THESE TERMS OR YOUR USE OF THE PLATFORM. SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, AND IN SUCH JURISDICTIONS, THE LIABILITY OF POV HUB SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
IX Indemnification
You agree to defend, indemnify, and hold harmless TPOV, LLC, POV Hub, and its parent companies, subsidiaries, affiliates, and their respective past, present, and future officers, directors, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, judgments, settlements, awards, costs, and expenses, including without limitation reasonable attorneys' fees and court costs, arising out of or relating in any way to your access to or use of the Platform; your violation or breach of any term, condition, representation, warranty, or covenant contained in these Terms; your violation of any applicable law, rule, or regulation; your infringement or misappropriation of any intellectual property or other rights of any third party; your negligent, reckless, or willful misconduct; or any content, data, or materials that you submit, post, transmit, or otherwise make available through the Platform.
POV Hub reserves the right, at its own expense and upon reasonable notice to you, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate fully with POV Hub in asserting any available defenses. You shall not, in any event, settle any claim or matter subject to indemnification under this section without the prior written consent of POV Hub, which consent shall not be unreasonably withheld or delayed. The obligations set forth in this section shall survive the termination or expiration of these Terms and your use of the Platform.
X Governing Law and Dispute Resolution
These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter, whether contractual or non-contractual in nature, shall be governed by and construed exclusively in accordance with the laws of the State of Utah, United States of America, without giving effect to any choice-of-law or conflict-of-law principles that would result in the application of the laws of any other jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
Any legal action, suit, or proceeding arising out of or relating to these Terms or your use of the Platform shall be instituted exclusively in the federal or state courts located in Utah County, Utah, and you irrevocably consent and submit to the personal jurisdiction and venue of such courts, waiving any objection based on forum non conveniens or improper venue. You agree that any claim or cause of action arising out of or related to these Terms or your use of the Platform must be filed within one year after such claim or cause of action arose, or it shall be permanently barred, notwithstanding any statute of limitations or other law to the contrary.
Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting POV Hub at reach@povhub.hair with a detailed written description of the dispute and your proposed resolution. POV Hub will similarly contact you and the parties shall engage in good-faith negotiations for a period of no less than thirty days before either party may resort to formal legal action. This informal dispute resolution procedure is a mandatory prerequisite to filing any lawsuit.
XI General Provisions
The following general provisions apply to the interpretation, enforcement, and operation of these Terms and constitute an integral part of the agreement between you and POV Hub:

Entire Agreement
These Terms, together with the Privacy Policy and any applicable statements of work, service orders, or other documents expressly incorporated by reference, constitute the entire agreement between you and POV Hub concerning the subject matter hereof and supersede all prior and contemporaneous agreements, representations, negotiations, and understandings, whether written or oral. No course of prior dealings between the parties and no usage of trade shall be relevant to supplement or explain any term used in these Terms.

Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary such that the remaining provisions of these Terms will continue in full force and effect. The invalidity or unenforceability of any provision in a particular jurisdiction shall not affect the validity or enforceability of that provision in any other jurisdiction or of any other provision of these Terms.

Waiver
The failure of POV Hub to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver by POV Hub of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any waiver must be in writing and signed by an authorized representative of TPOV, LLC to be effective.

Assignment
You may not assign, delegate, or otherwise transfer these Terms, or any of your rights or obligations hereunder, in whole or in part, by operation of law or otherwise, without the prior written consent of POV Hub. Any attempted assignment in violation of this provision shall be null and void. POV Hub may freely assign these Terms, in whole or in part, without your consent, including to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.

Force Majeure
POV Hub shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, hurricanes, accidents, strikes, labor disputes, telecommunications or network failures, electrical outages, Internet service disruptions, epidemics, pandemics, or shortages of suitable materials, components, or transportation.

Relationship of the Parties
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and POV Hub. Neither party has any authority to make any representation, warranty, or commitment on behalf of the other, or to incur any liability or obligation on behalf of the other, except as expressly provided herein. POV Hub is an independent contractor in its performance of all services described on the Platform.

Survival
Any provisions of these Terms that by their nature should survive termination or expiration shall so survive, including but not limited to the sections concerning Intellectual Property Rights, Confidentiality, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their express terms or by necessary implication are intended to continue beyond the termination of these Terms.

Headings and Interpretation
The section headings and subheadings used in these Terms are for convenience of reference only and shall not affect the interpretation or construction of any provision. The language of these Terms shall be construed according to its fair meaning and not strictly for or against any party, regardless of which party drafted the provision. Whenever the words include, includes, or including are used in these Terms, they shall be deemed to be followed by the words without limitation.

Electronic Communications
When you visit the Platform or send emails to POV Hub, you are communicating with us electronically. You consent to receive communications from us electronically, including by email and by posting notices on the Platform. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree that any electronic signature provided by you through the Platform shall have the same legal effect as a handwritten signature.

Export Controls
You acknowledge that the Platform and any related services, software, or technology provided by POV Hub may be subject to United States export controls and economic sanctions laws. You agree to comply fully with all such laws and regulations, including those administered by the U.S. Department of Commerce Bureau of Industry and Security and the U.S. Department of the Treasury Office of Foreign Assets Control. You represent that you are not located in, under the control of, or a national or resident of any country subject to comprehensive U.S. trade sanctions or designated as a state sponsor of terrorism.
